For nearly three decades controversial investor Paul Coulson, who has appeared in Greek things as a big investor seeking to transform an area of unspeakable natural calluses in Porto Heli in a pharaonic tourism investment, built an empire in the field of packaging, turning a small Irish glass bottle company into Ardagh Group, a global giant with a presence in Europe and USA.

This development, however, was based on an unreasonably aggressive takeover strategy and huge leverage, leaving behind a debt group that exceeded $10 billion and eventually led to one of the largest debt restructurings in the European bond market, which, as is understandable, resulted in significant losses for bondholders.

In November 2025, the Irish businessman lost control of Ardagh, as under the recapitalisation agreement creditors converted around $4.3 billion of debt into shares and took over the ownership of the group. The deal left the bondholders behind with significant losses resulting in strong reactions. And of course, the old shareholders made sure to secure a total of $300 million for their departure, with Coulson himself not staying empty-handed and receiving about $10 million for his participation in the company.

At the same time, the holders of Ardagh's most precarious bonds, the so-called PIK notes, were faced with drastic impairment of their claims and eventually lost recently the court battle opened by some of the creditors – including Deutsche Bank and Carronade Capital – to block the deal.

While Ardagh was fighting with her creditors for her survival, Paul Coulson had already turned to his next major venture, which also causes enormous reactions: the pharaonic tourist development mainly in designated forest areas in Henitsa in Porto Heli. Through Hinitsa Bay Holdings, the Irish businessman promotes an investment that argues that it will reach 200m euros for the creation of the Four Seasons Resort and Residences Porto Heli, as mentioned above in an area that has been at the heart of reactions on the issues relating to forest characterisation and the heavy environmental footprint of the project in an area of high natural beauty.

Who is Paul Coulson?

Known in Ireland under the nickname "The Cooler" as early as his student years, Paul Coulson has built the reputation of a demon dealer. Those who know him attribute the nickname not only to the coldness and cynicism he displays in the difficult negotiations, but also to his ability where he identifies business opportunities to bypass the dead ends in his own way.

Born April 1952, he studied Business Administration at Trinity College, Dublin and graduated in 1973. He followed a five-year term at Price Waterhouse, London and Dublin, where he acquired the status of Orcot Accountant. After establishing his own audit company, in 1980 he created Yeoman International, which he developed to one of the major players in the aircraft finance lease market.

His business course was not without obstacles. In the early 1990s he was faced with a problematic deal of £93 million with British CLF Holdings, which significantly burdened his group with borrowing. Coulson turned court against the investment bank SG Warburg, which had an advisory role in the transaction and was eventually justified, securing compensation of GBP 35 million.

With this money, he acquired in 1998 Irish Glass Bottle Company, a relatively small Irish glass bottle production company, with history since 1932. Under his leadership the business was transformed into Ardagh Group, which through an aggressive takeover strategy evolved into one of the largest packing groups worldwide, with dozens of factories in Europe and America and customers some of the world's largest food and drink companies.

Coulson's business success was also reflected in his personal property. In 2021 he was estimated at about $2.8 billion, ranking him among Ireland's ten richest people.

The high-yield bond guru

Paul Coulson is considered by several people in international markets to be one of the "noons" of the European high yield bond market (high-yieldbonds).

In the early years of its development, Ardagh had relied on traditional bank financing, with AngloIrish Bank being one of its main financiers.

However, as the group grew and acquisitions multiplied, the financing model changed.

Under Coulson's leadership, the group developed not only through the production of glass and metal packaging, but mainly through a series of acquisitions financed largely through loans and bond issues of high cost – the so-called junk bonds or bonds below the investment tier (sub-investment grade debt).

A typical example was the period of extremely low interest rates and quantitative relaxation, when Ardagh went on to issue the so-called "super PIK" bonds (payment-in-kind).

The first clouds.

For several years, this controversial model operated without great pressure. The extremely low interest rates allowed the company to refinance its debt on relatively favourable terms, while the demand for its packaging was greatly reinforced. The explosion of the consumption of energy drinks, but also the turn of several producers from plastic to glass and aluminium, created strong demand.

The environment, however, changed sharply after interest rates rose worldwide. The pressure became stronger since the second half of 2023, when Ardagh's profits began to decline due to the slowing down of consumption and the change of behaviour of major beverage companies. Many producers, after the high stock period, began to limit their orders in order to reduce the stocks of packaging materials.

With a net debt exceeding $11 billion, the debt relationship to EBITDA was approaching nine times. For analysts, this level of leverage was considered difficult to sustain in a high interest rate environment.

By 2024, Ardagh had now entered a new phase: from a company that was exploiting debt markets to grow, it had become a company that had to negotiate with its debt holders for the next day.

The "fight" with hedgefunds

With the burden of debt becoming increasingly difficult to manage, Ardagh went through a restructuring process.

The process, however, did not develop as a typical debt restructuring. The focus was the conflict between different groups of investors with conflicting interests: on the one hand, shareholders, led by Paul Coulson, who sought to maintain some of the value created in Ardagh, and on the other hand bond holders and hedgefunds, which argued that creditors should have priority in the recovery of funds.

Ardagh's original proposal put on the table provided that unsecured creditors would be "haired" by about US$1.6 billion of their claims, in exchange for gaining control of Ardagh's loss-making glass packaging activity.

This structure caused reasonable strong reactions from several hedgefunds, which argued that the agreement would result in a "deductible value" from certain categories of creditors for the benefit of the Irish businessman and other insiders. The hedge funds argued that existing shareholders did not contribute new funds or other value to the transaction, but would retain 80% of the new company that would include the group's most important asset, describing the moves as a breach of the management's obligations towards creditors.

Two hedge funds - the British Arini and the American Canyon Partners - which held over 30% of Ardagh's unsecured bonds, amounting to £400 million at an end in 2027, appealed to justice.

Agreement reached

After months of tough negotiations with its creditors, Ardagh announced at the end of July 2025 a restructuring plan that would permanently change the group's equity and capital structure. The agreement provided for the conversion of billions of debt into shares and the delivery of control of the company to its creditors.

For Paul Coulson, the deal marked the end of his time in Ardagh. Shareholders would leave the group taking a total of $300 million, of which at all modest amount of $108 million would be directed to the main cause of the collapse, Coulson, who before restructuring held about 36.6% of the company's financial value.

The agreement, however, was not accepted by all creditors. At the heart of the conflict were the holders of the Payment-in-Kind (PIK) notes, Ardagh's most precarious bonds, of a total value of about $2 billion.

In October 2025, Deutsche Bank and the American hedge fund Carronade Capital Management attempted to prevent the implementation of the agreement, arguing that the proposed restructuring disproportionately transferred the burden to the PIK holders, while allowing the old shareholders – including Paul Coulson – to leave for considerable financial gain.

The two investors, jointly holding about 13% of PIK notes, argued that the holders of this debt category would lose almost all of their investment, as their securities would be converted into just 7.5% of the new corporate structure.

Following the failure of the consensus procedure with the bondholders, ARD Finance S.A. of the Ardagh Group resorted to the new Luxembourg judicial reorganisation tool introduced in 2023, paving the way for the imposition of the restructuring plan and to creditors who had not consented.

The deal that ended the Coulson era

In November 2025, Ardagh announced the completion of its overall recapitulation, with the support of creditors representing over 99% of secured and unsecured bonds and about 80% of PIK notes holders.

At the heart of the deal, a debt swap was found with shares of approximately $4.3 billion, through which a significant part of the company's liabilities was deleted and its balance sheet was strengthened.

At the same time, Ardagh secured new funding of $1.5 billion through the issuance of new secured bonds, while key debt endings were transferred for more than four years.

At the same time, the compulsory exchange of all Senior Secured Notes (SSNs) was carried out, i.e. the company's secured bonds. Their holders delivered the existing securities and received, without requiring additional capital payment, new second-priority secured bonds (Second Lien Notes) with maturity in 2030, thus maintaining their position in the new capital structure.

Even greater was the change for Senior Unsecured Notes (SUNs), unsecured bonds. The total of these bonds was transferred to Equity Co and, instead of repaying them, investors acquired 92.5% of the company's shares. In other words, the main creditors were converted into the new owners of Ardagh through a debt swap with equity.

Chapter 15

Creditors who disagreed with the restructuring of Ardagh attempted to transfer the battle to the other side of the Atlantic, making recourse to the New York courts and challenging the legality of the process that had begun in Luxembourg.

Στις 25 Μαρτίου 2026, το Πτωχευτικό Δικαστήριο της Νότιας Περιφέρειας της Νέας Υόρκης αναγνώρισε τη διαδικασία της ARD Finance ως “foreign main proceeding” — μια απόφαση με ιδιαίτερη σημασία, καθώς αποτέλεσε την πρώτη φορά που δικαστήριο των ΗΠΑ αναγνώρισε διαδικασία αναδιοργάνωσης που είχε ξεκινήσει βάσει του νέου νόμου αναδιάρθρωσης του Λουξεμβούργου του 2023.

Η απόφαση αυτή είχε άμεσο αντίκτυπο και στις δικαστικές κινήσεις των διαφωνούντων ομολογιούχων, καθώς ανέστειλε την αγωγή ύψους περίπου 250 εκατ. δολαρίων που είχαν καταθέσει κατά της Ardagh στα δικαστήρια της Νέας Υόρκης.

Η αναγνώριση της διαδικασίας από το αμερικανικό δικαστήριο δεν έβαλε, ωστόσο, τέλος στη δικαστική αντιπαράθεση. Η τελευταία μάχη δόθηκε στο Λουξεμβούργο, όπου οι διαφωνούντες κάτοχοι των PIK notes επιχείρησαν να ανατρέψουν την αναδιάρθρωση που είχε ήδη αλλάξει ριζικά τη μετοχική και κεφαλαιακή δομή της Ardagh.

Τελικά, τον Ιούνιο του 2026, το δικαστήριο του Λουξεμβούργου επικύρωσε το σχέδιο δικαστικής αναδιοργάνωσης, απορρίπτοντας τις ενστάσεις των διαφωνούντων ομολογιούχων και επιτρέποντας την ολοκλήρωση της μετατροπής χρέους σε μετοχικό κεφάλαιο.

Με την απόφαση αυτή, οι εναπομείναντες PIK holders υποχρεώθηκαν να αποδεχθούν τους όρους της αναδιάρθρωσης. Περίπου 280 εκατ. δολάρια σε εναπομείναντα PIK notes μετατράπηκαν υποχρεωτικά σε μετοχές, που αντιστοιχούσαν σε περίπου 1% της νέας εταιρικής δομής.

Οι αντιδράσεις για το Πόρτο Χέλι

Παρά την απώλεια του ελέγχου της Ardagh και την πολυετή μάχη με τους πιστωτές του, ο Paul Coulson συνεχίζει να επενδύει σε νέα επιχειρηματικά σχέδια, τα οποία μάλιστα ξεσηκώνουν έντονες αντιδράσεις. Στο επίκεντρο βρίσκεται πλέον η Ελλάδα και ειδικότερα η μεγάλη τουριστική ανάπτυξη στη Χηνίτσα του Πόρτο Χελίου, μέσω της Hinitsa Bay Holdings.

Η φαραωνική επένδυση, ύψους περίπου 200 εκατ. ευρώ, σε μια περιοχή απαράμιλλου φυσικού κάλλους προβλέπει τη δημιουργία ενός σύνθετου τουριστικού καταλύματος, με πεντάστερο ξενοδοχείο, επιπλωμένες τουριστικές κατοικίες και σειρά συνοδευτικών υποδομών, ενώ το 2024 ανακοινώθηκε ότι η μονάδα θα λειτουργήσει υπό το brand Four Seasons Resort and Residences Porto Heli.

Το σχέδιο αναπτύσσεται σε έκταση περίπου 642 στρεμμάτων, στην οποία περιλαμβάνονται το υφιστάμενο ξενοδοχείο AKS Hinitsa Bay, το εγκαταλελειμμένο αεροδρόμιο Αλεξίου, αδόμητες εκτάσεις, αλλά και σημαντικές περιοχές ιδιωτικού δάσους.

The Capital. gr με εκτενή ρεπορτάζ είχε τονίσει ότι στην περιοχή βρίσκονταν σε εξέλιξη διαδικασίες “αποχαρακτηρισμού” δασικών εκτάσεων, εγείροντας σοβαρά ερωτήματα για την προστασία του περιβάλλοντος.Πιο συγκεκριμένα, στον -μερικώς κυρωμένο από το 2022- δασικό χάρτη οι ίδιες εκτάσεις δεν έφεραν καμία διαγράμμιση, γεγονός που, σύμφωνα με πληροφορίες, συμβαίνει είτε όταν έχει υποβληθεί αντίρρηση είτε όταν πρόκειται για σχέδιο πόλης. Κατά την αναζήτηση στη Διαύγεια, υπάρχει απόφαση της 2ης Επιτροπής Εξέτασης Αντιρρήσεων Δασικού Χάρτη Π.Ε. Αργολίδας, από τον Απρίλιο του 2023. Η απόφαση έκανε δεκτό αίτημα, υποβληθέν τον Μάιο του 2022, από την εταιρεία “Τάσος Αλεξίου Α.Ε. Ξενοδοχειακαί, Τουριστικαί και Τεχνικαί Επιχειρήσεις”, για διόρθωση “πρόδηλου σφάλματος”. Το αίτημα αφορούσε τη “λανθασμένη απεικόνιση αγροτικής έκτασης ως δασικής” και σχετιζόταν με τις επίμαχες εκτάσεις. Σημειώνεται ότι η “Τάσος Αλεξίου Α.Ε.” έχει μετονομαστεί σε “Hinitsa Bay Holdings”.

Θα πρέπει να σημειωθεί πως καθώς εντός της έκτασης συμπεριλαμβάνονται εκτάσεις ιδιωτικού δάσους εκδίδεται προεδρικό διάταγμα για τον χαρακτηρισμό και την οριοθέτηση του σύνθετου τουριστικού καταλύματος, με πρόταση των Υπουργών Περιβάλλοντος Ενέργειας και Κλιματικής Αλλαγής και Τουρισμού, ύστερα από έγκριση Στρατηγικής Μελέτης Περιβαλλοντικών Επιπτώσεων.

Ως εκ τούτου, τον Οκτώβριο του 2025, στο Προεδρικό Διάταγμα (ΦΕΚ 784 Α’) αναφέρονται τα εξής: “Χαρακτηρίζεται και οριοθετείται έκταση επιφάνειας 641.966,16 τ.μ. για τη δημιουργία Σύνθετου Τουριστικού Καταλύματος (ΣΤΚ) στη θέση “Χηνίτσα” στο Πόρτο Χέλι του Δήμου Ερμιονίδας της Περιφερειακής Ενότητας Αργολίδας, το οποίο θεωρήθηκε από την Προϊσταμένη της Ειδικής Υπηρεσίας Προώθησης και Αδειοδότησης Τουριστικών Επενδύσεων (ΕΥΠΑΤΕ) του Υπουργείου Τουρισμού, με την από 22.05.2025 πράξη της”.

Και μπορεί ο Coulson να μιλά για επένδυση ύψους 200 εκατ. ευρώ, στην πραγματικότητα όμως τα πραγματικά κεφάλαια που θα επενδυθούν είναι σημαντικά μικρότερα καθώς έχει φροντίσει να εξασφαλίσει υψηλές επιδοτήσεις. Το αμφιλεγόμενο επενδυτικό σχέδιο πέτυχε να κριθεί ως “Βιώσιμη Επένδυση” και έχει υπαχθεί στη χρηματοδότηση του Εθνικού Σχεδίου Ανάκαμψης και Ανθεκτικότητας “Ελλάδα 2.0” για ποσό 80 εκατ. ευρώ. Στο πλαίσιο αυτού, το έργο θα πρέπει να έχει ολοκληρωθεί έως το 2028. Έτσι στην πραγματικότητα η πραγματική επένδυση δεν ξεπερνά τα 120 εκατ. ευρώ.

Επέκταση επένδυσης

Σημειωτέον ότι τον Ιούνιο του 2026 η Υπηρεσία Δόμησης (ΥΔΟΜ) Ερμιονίδας χορήγησε προέγκριση για αναθεώρηση της οικοδομικής άδειας του σύνθετου τουριστικού καταλύματος της Hinitsa Bay Holdings στη Χηνίτσα Πόρτο Χελίου, ενώ τον Μάιο είχε δημοσιευθεί απόφαση της Διεύθυνση Προϊστορικών και Κλασικών Αρχαιοτήτων του υπουργείου Πολιτισμού, που ενέκρινε νέες παρεμβάσεις που αναμένεται να διευρύνουν το αποτύπωμα της επένδυσης.

Η νέα μελέτη αυξάνει – για την ακρίβεια υπερδιπλασιάζει – την έκταση των παρεμβάσεων από περίπου 31,6 σε 64,8 στρέμματα, ενώ προβλέπει την προσθήκη 182 νέων κλινών πέραν των 607 που περιλαμβάνονταν στον αρχικό σχεδιασμό. Από αυτές, οι 172 αφορούν ξενοδοχειακές μονάδες και οι υπόλοιπες 10 τουριστικές επιπλωμένες κατοικίες.

Παράλληλα, στο επενδυτικό σχέδιο προστίθενται επτά νέα κτίρια bungalows, καθώς και ένα ολοκληρωμένο συγκρότημα ευεξίας (spa). Συνολικά προβλέπεται η κατασκευή 11 νέων κτιρίων, συνολικής επιφάνειας περίπου 2.200 τ.μ., τα οποία θα στεγάσουν γυμναστήριο, χώρους θερμικών εγκαταστάσεων και θεραπείας, χώρους χαλάρωσης, καθώς και υπόγειους βοηθητικούς χώρους. Το αναθεωρημένο σχέδιο περιλαμβάνει επίσης νέες αθλητικές υποδομές, μεταξύ των οποίων γήπεδα τένις και padel.

Επιπλέον τον Ιούνιο του 2026, το Δημοτικό Συμβούλιο Ερμιονίδας ενέκρινε και την κυκλοφοριακή σύνδεση του σύνθετου τουριστικού καταλύματος με το υφιστάμενο δημοτικό οδικό δίκτυο, ένα ακόμη κρίσιμο αδειοδοτικό βήμα για την υλοποίηση του έργου. Σύμφωνα με την απόφαση, προβλέπεται η κατασκευή τριών ανεξάρτητων εισόδων-εξόδων, οι οποίες θα εξυπηρετούν τις επιμέρους λειτουργικές ενότητες του συγκροτήματος.
