In the ID of the Ministry of Development: «Extension until 31 October for submission of financial statements to the G.E.M.», published THE node Yesterday, it is expressly stated how the amendment to the order to come will have: «The current deadline for the submission of financial statements to G.E.M. is 30 September 2026».
ATTENTION: It is obvious that this is only a transfer of the deadline until 31 October for the submission of financial statements to the GFCM.
CONSTITUTIONING the September 10 deadline, as the ultimate date of the GSC's convocation, does not change. Consequently, if shareholders representing the total share capital (universal general meeting) are present or represented at the meeting today, it is understood that an invitation to call GS, 20 days earlier (20 August) is not required.
I quote the relevant provision: Article 121(5) of K.N. 4548/2018 «Reform of the law of public limited companies», «an invitation to convene a general meeting shall not be required where shareholders representing the whole share capital are present or represented at the assembly and none of them object to its realization and decision-making (universal general meeting)».
P.S. However, the Ministry for the removal of any reasonable misinterpretation of the BT must specify that it only prolongs the publication in the GEM of the financial statements, while the date of the convocation of the GSCs remains as long as 10 September 2026.
