AKTOR's combined bid to increase its share capital is currently under way from Monday, July 20th to Wednesday 22nd July with a view to raising funds up to 650m euros.
As early as the first hour there was coverage of the book of offers, and according to the company's sources, it is optimistic that by Wednesday a significant overcover will have occurred.
The maximum selling price is EUR 13,52 per new share, while the final price will be fixed after the completion of the international bid book procedure on 23 July 2026. The same price will apply to all investors involved in the combined bid.
The increase shall take place by abolishing the right of preference of existing shareholders and with the possibility of partial coverage.
New shares will be made available through two parallel procedures:
- Greek public tender, individuals and special investors in Greece.
- International offer through private placement, with the international bid book process, to institutional and other eligible investors outside Greece.
Initially, 20% of new shares will be made available through the Greek public offer and 80% through the international offer. The final distribution may be changed depending on the demand to be made on each arm.
At the same time, a priority allocation mechanism is provided for existing shareholders holding shares in AKTOR at the end of the meeting of 17 July 2026 and will participate in the Greek public tender.
By means of this mechanism, existing shareholders may, under the conditions laid down, retain their share of the company after the increase is completed. The priority allocation may not exceed the existing participation rate of each investor.
The timetable
The Greek public offer and international offer began on July 20 and will be completed on July 22, 2026.
The final disposal price is expected to be fixed on 23 July, while on 27 July the notification of the outcome of the combined bid and the approval of the introduction of the new shares to be traded is foreseen.
The opening of the new shares in Euronext Athens is scheduled for 28 July 2026.
